The terms of sale that apply to the 30-day validation offer

ARTICLE 1 – PURPOSE

These Terms of Sale (the “Validation Terms”) govern the purchase of, access to and use of the “30-day Scalyz Validation” offer, bought online and self-service on the Scalyz website.

They apply to this offer only. Any other service is governed by the Enterprise Terms of Sale.

Payment for the offer constitutes full and unconditional acceptance of these Validation Terms.

The offer is available to professional clients acting in the course of their business only.

ARTICLE 2 – DESCRIPTION OF THE OFFER

The “30-day Scalyz Validation” offer (the “Offer”) includes:

  • A recruiter workspace on the Scalyz platform
  • Ten (10) hands-on assessment credits
  • One (1) monthly term of access from the activation of the workspace
  • Candidate invitations, campaign management and the associated Skills Evidence reports

Price: €79 excl. VAT, as a single payment. The applicable price is the one displayed on the Offer page at the time of the order.

The Offer carries no subscription and no automatic renewal. No further charge is made at the end of the term.

The Offer is intended for the Client’s professional evaluation of the platform, on its own roles and candidates. It is limited to one (1) purchase per company, unless otherwise agreed in writing by Scalyz.

ARTICLE 3 – DEFINITIONS

For the purposes of these Validation Terms:

  • Platform: the Scalyz SaaS solution accessible online.
  • Offer: the “30-day Scalyz Validation” offer described in Article 2.
  • Credits: units consumed to launch a technical assessment.
  • Validation Period: the monthly term of access, that is twenty-eight (28) to thirty-one (31) calendar days depending on the purchase date.
  • Client: any professional entity purchasing the Offer.
  • User: a person authorised by the Client to access the platform.

ARTICLE 4 – ORDER AND PAYMENT

The Offer is purchased online from its dedicated page. The Client provides its company and use-case information, accepts these Validation Terms, then proceeds to payment.

Payment is processed by our payment provider Chargebee. Card details do not pass through Scalyz systems and are not stored by Scalyz.

Prices are stated excluding tax. Applicable VAT is added at payment, according to the Client’s country and tax status.

The invoice is sent electronically to the address given at the time of the order.

The recruiter workspace is created once payment is confirmed.

ARTICLE 5 – DURATION AND CREDITS

The Validation Period is one (1) monthly term and starts when the recruiter workspace is activated.

The credits:

  • Are valid for the Validation Period only
  • Are non-transferable, non-assignable and non-reloadable
  • Are consumed each time an assessment is launched
  • Cannot be carried over

Credits not used by the end of the Validation Period are forfeited.

At the end of the Validation Period, new assessment activity is disabled. Continued use of the platform requires moving to an appropriate commercial plan.

ARTICLE 6 – LICENCE OF USE

For the duration of the Validation Period only, Scalyz grants the Client a licence that is:

  • Non-exclusive
  • Non-assignable
  • Non-transferable
  • Strictly limited to internal professional use

The Client shall not:

  • Reproduce, extract or copy the labs
  • Reverse-engineer or attempt to analyse the internal technical workings
  • Use the platform to develop a competing service
  • Resell or redistribute the platform
  • Make the platform available to third parties outside the contractual framework

The licence of use confers no ownership right over the platform.

ARTICLE 7 – INTELLECTUAL PROPERTY

The platform, the labs, the methodology, the algorithms, the scoring systems, the technical and pedagogical architecture and all associated elements remain the exclusive property of Scalyz.

The Client is granted a limited right of use within the scope of the Offer only.

The Client shall not reproduce, have reproduced, adapt or have developed by a third party, directly or indirectly:

  • The technical scenarios of the labs
  • The assessment methodology
  • The scoring systems
  • The analysis mechanisms
  • The pedagogical architecture

Any attempt to reproduce all or part of the Scalyz solution constitutes a serious breach of these Validation Terms.

ARTICLE 8 – ABUSIVE OR FRAUDULENT USE

The following are strictly prohibited:

  • Using scripts, bots or automated tools
  • Attempting to scrape the platform
  • Misappropriating credits
  • Sharing unauthorised access
  • Compromising the security of the platform
  • Purchasing the Offer more than once for the same company

Any abusive use may lead to immediate suspension of access, without notice and without refund.

ARTICLE 9 – REFUND POLICY

9.1 Deadline

The Client has fourteen (14) calendar days from the order date to request a refund, in writing, at the contact address given in the legal notice.

9.2 Eligibility

A refund is possible only if no assessment credit has been consumed. Given the volume of ten (10) credits, the 5% threshold set out in the Enterprise Terms of Sale corresponds to no consumption at all.

9.3 Refund amount

One hundred percent (100%) of the amount paid is refunded if no credit has been consumed.

No refund, even partial, is granted once at least one credit has been consumed, the Offer being a single low-value payment intended for evaluation of the platform.

9.4 Exclusions

The following are never refundable:

  • Credits already consumed
  • Onboarding or support services invoiced separately
  • Bespoke development

No request will be accepted after the fourteen (14) day deadline has passed.

9.5 No guarantee of outcome

The platform is a decision-support tool. The results generated:

  • Reflect a technical assessment at a given point in time
  • Do not constitute a guarantee of future performance
  • Do not guarantee the success or failure of a hire

Scalyz cannot be held liable for decisions taken by the Client on the basis of the results provided.

ARTICLE 10 – CLIENT DATA AND PERSONAL DATA

Data provided by the Client or generated through its use of the platform remains its property. Scalyz claims no ownership right over Client data.

The Client acts as Data Controller; Scalyz acts solely as Data Processor. The Data Processing Agreement (DPA) published on the Scalyz website forms an integral part of these Validation Terms.

The Client may export its reports during the Validation Period. After that period, and in the absence of a commercial plan, data is retained and then deleted in accordance with the DPA.

ARTICLE 11 – SUSPENSION AND END OF THE OFFER

Scalyz may suspend access to the platform in the event of a breach of these Validation Terms, abusive or fraudulent use, or a security risk.

In the event of a serious breach, Scalyz may end the Offer after a notice that has remained without effect for seven (7) days. Unused credits are then non-refundable.

The Offer ends automatically at the expiry of the Validation Period, without formality or notice.

ARTICLE 12 – SECURITY AND PLATFORM EVOLUTION

Scalyz implements technical and organisational measures in line with professional standards applicable to SaaS services, including:

  • Hosting on cloud infrastructure located in the European Union
  • Encryption of data in transit (TLS/HTTPS)
  • Encryption of data at rest
  • Regular backups
  • Access logging
  • Multi-factor authentication for internal access
  • Access control based on the principle of least privilege

These measures may evolve in order to maintain a level of security appropriate to the risks.

Scalyz reserves the right to evolve, improve or adapt the platform and its features. Such changes may not substantially alter the essential features of the Offer.

ARTICLE 13 – LIABILITY AND LIMITATION OF WARRANTY

Scalyz undertakes to provide the platform with due care and in accordance with applicable professional practice. The Client acknowledges that the platform is provided as a SaaS service and that its operation depends in particular on network infrastructure, third-party environments and the quality of internet connections.

The platform is provided “as is”. Scalyz does not warrant:

  • The complete absence of errors or interruptions
  • Compatibility with any third-party system
  • Suitability for a specific need not expressly defined contractually

Scalyz’s total liability, on any grounds whatsoever, is capped at the amount excluding tax actually paid by the Client for the Offer.

Scalyz cannot be held liable for:

  • Indirect losses
  • Loss of operations
  • Loss of revenue
  • Loss of data attributable to the Client
  • Hiring decisions taken on the basis of the results

The Client shall indemnify Scalyz against any claim, action or judgment arising from non-compliant use of the platform, a breach of these Validation Terms, the transmission of unauthorised data, or a breach of applicable law.

ARTICLE 14 – CONFIDENTIALITY

Each party undertakes to preserve the confidentiality of the information exchanged in connection with the Offer, in particular technical information, commercial data and assessment reports.

This obligation remains in force during the Validation Period and for three (3) years after its end.

ARTICLE 15 – FORCE MAJEURE

Neither party may be held liable for a delay or failure to perform resulting from an event of force majeure as defined in Article 1218 of the French Civil Code, in particular: natural disasters, widespread network outages, large-scale external cyberattacks, government decisions, general strikes.

Performance of obligations is suspended for the duration of the event.

ARTICLE 16 – AMENDMENT, SEVERABILITY AND GOVERNING LAW

Scalyz reserves the right to amend these Validation Terms. New versions apply to future orders.

If any provision of these Validation Terms is held void or unenforceable, the remaining provisions remain in full force.

These Validation Terms are governed by French law. Any dispute relating to their interpretation or performance falls within the exclusive jurisdiction of the courts of Paris, unless a mandatory legal provision states otherwise.

In the event of a conflict between these Validation Terms and the Enterprise Terms of Sale, these Validation Terms prevail for the “30-day Scalyz Validation” offer only.
