Enterprise Terms fo Use

ARTICLE 1 – PURPOSE
These Enterprise Terms of Use (the “Enterprise TOU”) govern access to and use of the Scalyz platform by professional clients (the “Client”), including companies, recruiters, recruitment firms, and IT service providers (ESNs).
Commercial and billing terms are governed by Scalyz Enterprise Terms and Conditions of Sale, provided separately.
By accessing or using the platform, the Client accepts these Enterprise TOU without reservation.
ARTICLE 2 – ACCESS TO THE PLATFORM
Access is restricted to users authorized by the Client.
The Client agrees to:
- Designate authorized users
- Protect login credentials
- Ensure account confidentiality
Each authorized user acts under the Client’s responsibility.
Scalyz reserves the right to suspend an account in case of non-compliant usage.
ARTICLE 3 – AUTHORIZED USE
The platform is intended exclusively for:
- Technical evaluation of candidates and/or employees
- Internal skill development
- Technical qualification
It is strictly prohibited to:
- Use the platform for competitive purposes
- Resell access to the platform
- Share unauthorized access
- Extract or copy technical content
ARTICLE 4 – INTELLECTUAL PROPERTY
The platform, including but not limited to:
- Laboratories (Public, Private, and Custom)
- Technical scenarios
- Evaluation methodology
- Scoring systems
- Algorithms
- Technical and pedagogical architectures
remains the exclusive property of Scalyz.
No transfer of intellectual property rights is granted.
4.1 Custom Labs
Generic components developed by Scalyz remain Scalyz’s property.
Client-provided materials remain the Client’s property.
4.2 Prohibition of Reproduction
The Client shall not reproduce, cause to be reproduced, adapt, or have developed by any third party:
- Technical scenarios
- Evaluation systems
- Analytical mechanisms
- Pedagogical structures
Any attempt at partial or total reproduction constitutes a material breach of these Enterprise TOU.
ARTICLE 5 – ACCOUNT MANAGEMENT AND SECURITY
The Client is responsible for:
- Internal access management
- Deactivating unauthorized users
- Compliance with its internal security rules
Any suspected compromise must be reported to Scalyz without undue delay.
ARTICLE 6 – REPORTS AND USE OF RESULTS
Reports generated by the platform:
- Are decision-support tools
- Do not guarantee hiring success or failure
- Reflect an evaluation at a given point in time
The Client remains solely responsible for decisions made based on the results.
Any modification of an official report invalidates its authenticity.
The embedded QR code enables authenticity verification.
ARTICLE 7 – CONFIDENTIALITY
Each party shall maintain the confidentiality of:
- Custom scenarios
- Technical information
- Internal methodologies
- Evaluation reports
This obligation remains in effect during the contractual term and for three (3) years after termination.
ARTICLE 8 – AVAILABILITY AND MAINTENANCE
Scalyz uses reasonable efforts to ensure platform availability.
Service interruptions may occur for:
- Maintenance
- Updates
- Security operations
No guarantee of uninterrupted availability is provided unless otherwise agreed in writing.
ARTICLE 9 – LIABILITY
The platform is provided as a decision-support tool.
Scalyz shall not be liable for:
- Hiring decisions
- Indirect damages
- Business losses
- Interpretation of results
Scalyz’s liability is limited as set out in the applicable Enterprise Terms and Conditions of Sale.
ARTICLE 10 – REGULATORY COMPLIANCE
The Client agrees to use the platform in compliance with:
- Applicable laws
- GDPR requirements
- Any applicable sector regulations
Personal data processing is governed by the Data Processing Agreement (DPA).
ARTICLE 11 – SUSPENSION
Scalyz may suspend access in case of:
- Breach of these Enterprise TOU
- Security risk
- Fraudulent usage
- Non-payment in accordance with the Enterprise Terms and Conditions of Sale
ARTICLE 12 – MODIFICATION OF THESE TERMS
Scalyz reserves the right to modify these Enterprise TOU.
New versions apply to future use.
ARTICLE 13 – GOVERNING LAW
These Enterprise TOU are governed by French law.
